California LLC formation

From an idea to a formed California LLC — without missing anything.

Most formation services stop at the filing. That is the easy part. The costly parts are the Statement of Information due 90 days later, the $800 franchise tax that no longer has a first-year exemption, and the local licences nobody mentions. We handle the filing and put every one of those dates on a calendar you can see.

$70
State filing fee for Form LLC-1

To file your Statement of Information, or a $250 penalty

How it works

Five stages. You do the first one; we do most of the rest.

1
You complete a guided intake
About 15 minutes. Name choices, addresses, members, how the company will be managed, who receives legal notices. Save and return whenever you like.
2
We check the name and prepare the filing
Distinguishability, designator and prohibited-word rules — the three things that get filings rejected. We come back to you before anything is submitted.
3
We file the Articles of Organization
Form LLC-1, $70 to the Secretary of State. You get the stamped copy and your 12-digit entity number.
4
We set up what makes the LLC usable
Operating agreement, EIN guidance, the 90-day Statement of Information, and a bank-ready document pack.
5
You get a live compliance calendar
Every California deadline computed from your actual filing date, with email reminders 30, 14 and 3 days ahead. No more surprise penalties.

What it actually costs

Government fees, stated plainly. These are the agency’s charges, not ours.

ItemWho charges itAmount
Articles of Organization (Form LLC-1)
Paid to the California Secretary of State when the LLC is created.
Secretary of State $70
Statement of Information (Form LLC-12)
Due within 90 days of formation, then every 2 years.
Secretary of State $20
FTB annual franchise tax (Form 3522)
Owed every year the LLC exists, including the first year.
Franchise Tax Board $800
Federal EIN from the IRS
Always free directly from IRS.gov. Never pay a third party a fee to "get" an EIN.
IRS Free
Name reservation (60 days)
Optional. Holds a name for 60 days; cannot be renewed back-to-back.
Secretary of State $10
24-hour expedited filing (Class C)
Optional. Available online or by drop-off.
Secretary of State $350
Certified copy of a filed document
Often required by banks.
Secretary of State $5
The $800 catches almost everyone. The first-year exemption people remember was real — but it applied only to tax years beginning between 1 January 2021 and 31 December 2023. It has expired. An LLC formed today owes $800 for its first year, due on the 15th day of the fourth month after formation.

Tell us a little about the business. We will confirm the details, then open a secure portal where you complete the intake.

This helps us flag licensing questions early — some professions cannot use an LLC in California.
